
Amneal Pharmaceuticals (NASDAQ:AMRX) stockholders preliminarily approved the company’s proposed acquisition of Kashiv BioSciences, LLC and the related issuance of Amneal Class A common stock at a special virtual meeting, according to preliminary voting results announced by the company.
Paul Meister, Amneal’s chairman of the board, called the special meeting to order and said the company was seeking stockholder approval for the Membership Interest Purchase Agreement dated April 21, 2026. Under the agreement, Amneal will acquire 100% of the issued and outstanding membership interests of Kashiv BioSciences from its sellers.
Transaction and Share-Issuance Proposals Approved
The first proposal asked stockholders to approve the Kashiv acquisition agreement and the transactions contemplated by it. Approval required an affirmative vote from a majority of votes cast by Amneal’s disinterested stockholders who were present or represented by proxy and entitled to vote on the matter.
The second proposal sought approval to issue 28,942,108 shares of Amneal Class A common stock, with a par value of $0.01 per share, to the Kashiv sellers in connection with the purchase agreement. The proposed issuance was intended to comply with Nasdaq Listing Rule 5635(a)(2) and satisfy related conditions in the purchase agreement.
Meister said Amneal’s independent committee unanimously recommended that stockholders vote in favor of both the transaction proposal and the share-issuance proposal. The company’s board of directors also recommended approval of both measures.
No stockholder questions relating to the proposals were submitted during the meeting, according to Daly.
Official Results to Follow
After the polls closed, Daly said the company had been informed by John Mirva of American Election Services, the inspector of election, that preliminary voting results showed both the transaction proposal and the stock issuance proposal had been approved.
Amneal said it will publicly announce official voting results after the inspector of election completes its verification process.
A third proposal would have authorized an adjournment of the special meeting under certain circumstances, though Meister said it was not necessary to consider that measure during the meeting. The legal portion of the meeting was then adjourned.
