Why it matters
OptimistFi's case is that UWMC depends on independent brokers continuing to choose its wholesale platform and on volume turning into durable GAAP profit and cash generation. This rights offering adds capital support, but it is only the start of the financing and not a completed raise.
The preferred stack is split 10-to-1, with 1,500,000 Series A-1 shares and 150,000 Series A-2 shares outstanding. That split frames how the capital structure is already layered before the offering closes, and the filing says the raise is capped at up to $400 million.
The warrant count also matters because both series stand at 165,000,000 each. The caveat is that the filing is a commencement notice, so investors only have planned terms, not a finished financing.

What's next
The Stockholder Approval Date is expected to be October 24, 2026, when the warrant issuance is expected to become effective. If that date holds, the financing terms can move ahead on schedule.
The warrants held by SFS Group cannot be exercised until that date. A delay would push the capital plan back, while the scheduled approval would keep it on track.
