
What happened
Skyworks Solutions, Inc. (NASDAQ: SWKS) said it completed its combination with Qorvo on October 5, 2026. Qorvo shareholders received $32.50 in cash and 0.960 of a Skyworks common share for each Qorvo share. Skyworks said it will keep trading under SWKS, and Phil Brace remains chief executive officer and president. The company said legacy Skyworks shareholders own approximately 63% of the combined company and legacy Qorvo shareholders own approximately 37%, on a fully diluted basis.
The board was increased to 11 directors, including Robert A. Bruggeworth, Richard L. Clemmer and Christopher R. Koopmans. Robert Terry ceased to serve as senior vice president, general counsel and secretary, and J.K. Givens became Skyworks' senior vice president and general counsel, secretary. Skyworks also said the net proceeds from $800 million, $600 million and $600 million senior notes helped finance the cash consideration, and the notes were issued on Aug. 10, 2026.

Why it matters
The filing says the combination expands Skyworks' technology portfolio and addressable market, and creates a U.S.-based global leader in high-performance RF, power management, and analog and mixed-signal semiconductor solutions. It also adds approximately 8,000 engineers and more than 12,000 issued and pending patents. The broader portfolio reaches RF GaN, low-voltage power and wired broadband across smartphones, vehicles, networks and critical infrastructure.
The filing also says the combination broadens the RF front-end portfolio as 5G-Advanced evolves toward 6G, and more than doubles Skyworks' addressable market.
Skyworks says annualized cost synergies of $500 million or more should be realized within 24 to 36 months after close, and the deal is expected to be immediately accretive to non-GAAP EPS. OptimistFi's comparison puts legacy Skyworks holders at about 26 percentage points more of the combined company than legacy Qorvo holders, at roughly 63% versus 37%. The filing says the benefits may not materialize if integration is delayed or the synergies and operating efficiencies are missed.

What's next
Skyworks said it will provide financial guidance on its fiscal fourth-quarter earnings call on Nov. 3. A guide that matches the synergy plan would support the case, while a cautious update would test it.
