What happened
Chemomab Therapeutics Ltd. (NASDAQ: CMMB) filed a contingent value rights agreement on 2026-10-19 tied to its merger. The form gives holders two future payout triggers. Milestone 1 means the earlier of a Phase III clinical trial in primary sclerosing cholangitis or a disposition of Nebokitug, also called CM-101, in PSC during the CVR Term. Milestone 1 Payment means $40 million.
Milestone 2 means FDA approval of the product in any indication during the CVR Term, and Milestone 2 Payment means $10 million. Both amounts drop to $0.00 if the milestones are not achieved on or before the end of the CVR Term. The agreement also allows up to $0.6 million of CVR expenses to be deducted. The CVRs are book-entry only and will not trade on an exchange.

Why it matters
OptimistFi's case is that Chemomab is a clinical-stage biotech option whose value depends on differentiated clinical evidence before dilution reduces the upside. This agreement adds a defined contingent payout path, but it does not say either trigger has been reached. Milestone 1 is four times Milestone 2, so most contingent value rests on the PSC trigger tied to Nebokitug, also called CM-101.
The filing also says the CVRs are highly speculative and that it is highly possible there will not be any Milestone Payments. That caveat matters because the payout is conditional, not cash already on hand. The CVRs carry no voting rights or dividends.

What's next
If a milestone is reached, a Milestone Notice and an Officer's Certificate go out, and the Rights Agent pays holders within ten Business Days. The payment date is 30 days after the milestone is achieved. The filing says the payment can come as stock, cash, or a combination. A holder's share of any payment depends on the number of CVRs recorded at the notice date. A future notice would show which trigger was met and how the payment is made.
If no milestone is reached before the CVR Term ends, both milestone payments fall to $0.00.
