What happened
Expion Energy, Inc. (NASDAQ: XPON) amended its private placement documents on October 22, 2026. The amended deal keeps the original $9 million debenture package, sets the debentures to a $4.25 conversion price, and updates the warrants and registration rights agreement. The warrants still cover up to 2,117,219 shares at $4.25 each. Purchasers may also choose to buy up to $91 million of additional convertible debentures within 18 months.
Each additional closing must include at least $1 million for each participating purchaser. The debentures remain direct, unsecured debt that mature three years after their original issue dates. Five Narrow Lane, LP was the lead purchaser, and the filing says former CEO and chairman Joseph Hammer is a managing member of its general partner. The board’s disinterested directors approved the deal.

Why it matters
OptimistFi’s case is that XPON needs capital flexibility to grow its niche battery business before cash burn overwhelms shareholders. The filing is mixed because it adds financing capacity, but the optional $91 million tranche is about 10.11 times the original $9 million principal. The structure also keeps a $0.72 floor price and allows the conversion price to reset lower if the company issues cheaper stock or stock equivalents.
The $1 million minimum at each additional closing lets the company add debt in smaller steps instead of one large raise. The debentures carry 8% interest after the first anniversary, and the company can pay that interest in cash or, if equity conditions are met, in common stock. The filing also says principal and unpaid interest can accelerate after certain events of default, and the company cannot prepay without holder consent.

What's next
The company said it plans to file a preliminary proxy statement on Schedule 14A, then a definitive proxy statement and proxy card for a stockholder meeting. The filing says stockholder approval would let the purchasers receive, under Nasdaq rules, 19.99% or more of outstanding common stock through the debentures, interest shares and warrants. The company also agreed to file a resale registration statement within 20 days of the amended registration rights agreement.
It will seek effectiveness within 30 days, or 60 days if the SEC conducts a full review. Approval would support the financing path in the filing. A failed vote would leave that expansion unavailable.
