Aardvark Therapeutics Shareholders Approve Directors, Auditor and Option Repricing

Aardvark Therapeutics (NASDAQ:AARD) shareholders approved all three proposals presented at the company’s 2026 Annual Meeting of Stockholders, including the election of two Class I directors, the appointment of BDO USA as independent auditor and the repricing of certain stock options.

The virtual meeting was called to order by Chief Executive Officer Tien Lee, who also served as chairman. Chief Financial Officer Nelson Sun acted as secretary. Lee said the board had appointed James R. Alden of American Election Services, LLC, as inspector of election.

Sun reported that approximately 54.79% of the company’s issued and outstanding common shares were represented at the meeting, establishing a quorum to conduct business. The company’s record date for the meeting was June 18, 2026, and proxy materials were mailed to shareholders of record on July 13, according to an affidavit from Broadridge Financial Solutions.

Director Elections Approved

Shareholders elected Jeffrey Chi, Ph.D., and Victor Tong Jr. as Class I directors. Each will serve until the company’s 2029 Annual Meeting of Stockholders or until a successor is elected and qualified.

Lee said both nominees were current directors and had been recommended by Aardvark’s board. No advance notices of shareholder director nominations were received, and the nominations were subsequently closed.

Auditor Ratification and Option Repricing

Shareholders also ratified the audit committee’s appointment of BDO USA as Aardvark’s independent registered public accounting firm and independent auditor for the fiscal year ending Dec. 31, 2026.

In addition, shareholders approved the repricing of certain stock options granted under the company’s 2017 Equity Incentive Plan, as amended; its 2025 Equity Incentive Plan; and its 2025 Inducement Equity Incentive Plan.

The meeting agenda contained no additional shareholder proposals. Voting was conducted by proxy and electronic ballot, with each holder of common stock entitled to one vote per share held as of the June 18 record date.

Polls closed at 9:07 a.m. Pacific Time. Sun said the results announced during the meeting were preliminary because the complete share-vote figures were not yet available. The inspector of election will provide a written final report, and Aardvark said it expects to publish the final vote tally in a Current Report on Form 8-K filed with the Securities and Exchange Commission on or before Aug. 20, 2026.

Lee adjourned the meeting after noting that the company had not received questions concerning the agenda items.
