authID (NASDAQ: AUID) lines up $1.35 million financing and extends debt

What happened

authID Inc. (NASDAQ: AUID) said it priced up to $1.35 million of senior secured convertible debentures and warrants on October 5, 2026. The closing is expected to begin on or about October 6, 2026, if standard conditions are met. The filing also says holders of debentures issued in April 2026 agreed to extend maturity to February 28, 2027.

On October 6, 2026, authID said EinStrong agreed to a $2 million technology licensing, services and support agreement. EinStrong paid $1 million for a non-exclusive authID technology license and committed another $1 million for biometric de-duplication functionality and engineering support. authID said monthly cash operating expenses were about 40% lower than in the first quarter of 2026.

Why it matters

OptimistFi's case is that authID can win commercial adoption before dilution overwhelms the story. The EinStrong contract is about 1.48 times the financing cap, so the commercial agreement is larger than the planned raise. The lower cash operating expense base matters because the company says it will use the net proceeds for working capital and general corporate purposes.

The filing also gives investors a clearer view of the capital structure. The debentures convert at $0.386, the warrants exercise at $0.50, and warrant exercise needs stockholder approval. The April 2026 debentures now mature on February 28, 2027, which pushes a debt date farther out but does not remove the financing and dilution terms now on paper.

What's next

The offering is expected to close on or about October 6, 2026. authID said it will file one or more registration statements covering resale of the shares tied to the debentures and warrants.

If that closing happens and the filings follow, the financing side of the story gets firmer. If either step slips, dilution and liquidity pressure stay in view. The April 2026 debentures now mature on February 28, 2027, giving the company a later debt date to work against.
