What happened
Circle Internet Group, Inc. (NYSE: CRCL) Chief Product Tech. Officer Nikhil Chandhok sold 26,668 Class A common shares on 2026-10-08 at $79.59 apiece. The Form 4 also shows a 23,334-share Stock Option (Right to Buy) exercise at $25.81, after which Chandhok held 741,999 shares.
The filing says the trades were made under a Rule 10b5-1 trading plan, and the sale left 715,331 shares beneficially owned. The explanation says 456,614 shares were held outright and 258,717 shares were issuable upon vesting of restricted stock units, which together match the 715,331-share total. The derivative table shows 307,515 option shares beneficially owned after the transactions.

Why it matters
OptimistFi's case is that Circle works if USDC becomes a default regulated digital-dollar settlement layer and Circle keeps enough of the reserve economics to turn that scale into durable cash flow. This filing does not test that thesis directly, because it is an insider transaction rather than an operating update. It does, however, show Chandhok still held 715,331 shares after the sale.
The 26,668 shares were about 3.6% of the holding before the trade, based on the 741,999 shares reported after the option exercise and before the sale. That makes the move look like a partial reduction, not a full exit. The Rule 10b5-1 plan keeps the trade from reading as a sudden shift in view.

What's next
The option award has an expiration date of 02/04/2032, and the remaining portion vests in 36 successive equal monthly installments after the one-year anniversary. Those installments are the next dated pieces in the filing, and they can keep changing the reported ownership mix over time.
If later Form 4s show more selling under the same plan, the reduction theme continues. If later filings show the direct stake holding steady or rising as shares vest, Chandhok's reported exposure would remain larger. Either way, the next filings will show whether the reported stake keeps drifting lower or stabilizes.
