What happened
Brookfield Infrastructure Corporation (NYSE: BIPC) raised $141 million selling exchangeable shares in the first nine months of 2026, its Q3 interim report shows.
The company issued 2,982,920 shares under its at-the-market program. Brookfield Infrastructure bought back an equal number of partnership units under its normal course issuer bid. The shares sold on the TSX and NYSE at average prices of C$64.47 and US$47.27 each.
Agent commissions cost $2 million, leaving net proceeds of $139 million. By OptimistFi's calculation, the commissions took 1.4% of gross proceeds.
The report also says Brookfield Infrastructure Partners L.P., which the filing calls Brookfield Infrastructure, gave Brookfield Infrastructure Holdings Corporation (BIHC) an equity commitment of $1 billion. BIHC was formerly named Brookfield Infrastructure Corporation. The filing groups it with the company, the partnership and their subsidiaries.

What the share sales do to the share count
The filing says the exchangeable shares are built to be economically equivalent to partnership units. It also reports the equal unit buyback that came with the issuance.
Exchangeable shares outstanding rose to 123,021,062 at Sept. 30 from 119,982,167 at Dec. 31, 2025. By OptimistFi's calculation, the new shares equal 2.5% of the year-end count. Smaller moves came from 66,741 shares issued to unitholders who asked for exchanges and 10,766 shares exchanged for partnership units.
The shares are booked as a liability of $5.23 billion, up from $5.13 billion at year-end. The company remeasures that liability to the $35.55 NYSE closing price of one partnership unit. Gains or losses run through the income statement.
That remeasurement was a gain of $161 million in the third quarter, against $86 million a year earlier. Net income rose 27.8% to $409 million from $320 million. The gain was $75 million larger than in 2025, while net income rose $89 million. The cash flow statement subtracts the gain out, so it is an accounting item and not an operating improvement.

Operating cash flow trails last year
Cash from operating activities fell 24.2% to $295 million in the quarter from $389 million a year earlier. For nine months it fell 13.4% to $961 million from $1.11 billion.
Revenue was nearly flat. Third-quarter revenue was $911 million against $917 million, a 0.7% decline. Nine-month revenue rose 0.8% to $2.74 billion from $2.71 billion. The filing says revenues gained from inflationary tariff increases and capital commissioned into rate base. The partial sale of stabilized assets at the global intermodal logistics operation offset those gains.
By line, third-quarter distribution revenue rose to $179 million from $150 million. Leasing revenue fell to $292 million from $339 million.
Financing costs moved the other way. Nine-month interest expense rose 10.1% to $938 million from $852 million. The filing says dividends on the exchangeable and class A.2 shares are presented as interest expense. Those dividends were $184 million over nine months, up from $171 million.
Why it matters
OptimistFi has argued that BIPC works if regulated and contracted assets keep producing inflation-resilient cash flow while leverage and capital recycling stay advantages. The tariff-driven revenue gains fit that view. Falling operating cash flow and rising interest expense test it, so the filing leaves the case mixed.
Debt moved the right way. Non-recourse borrowings fell to $12.55 billion from $13.17 billion at Dec. 31, 2025. The filing ties this to $0.8 billion of borrowings leaving with a container-portfolio sale, partly offset by $0.2 billion of new net borrowings.
That sale is capital recycling. On July 1, 2026, the intermodal logistics operation sold a 67% interest in a subsidiary holding stabilized containers. Net proceeds to the company were about $70 million. The company booked a one-time gain of about $25 million.
The share sales cost holders something: more exchangeable shares outstanding and a larger liability on the balance sheet. Because the liability tracks the unit price, the remeasurement gain can swing the other way, as 2025's nine-month loss shows.
What's next
Brookfield Infrastructure Corporation's next quarterly report is the next test. Borrowings below the Sept. 30 level, or operating cash flow back above the year-earlier pace, would support OptimistFi's view that leverage is an advantage.
Another quarter of falling operating cash flow alongside more share sales would weaken it. The report will also show whether the share proceeds and the $1 billion commitment to BIHC lead to lower leverage or new investments.
